1. Acceptance of Terms
Welcome to ParaVista Stays. By accessing or using our platform, website, mobile application, or any services provided by ParaVista Stays, LLC ("ParaVista Stays," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.
These Terms constitute a legally binding agreement between you and ParaVista Stays. Please read them carefully before using our Services. These Terms should be read in conjunction with our Privacy Policy and Cookie Policy.
2. Definitions
- "Platform" refers to the ParaVista Stays website, mobile applications, and all related services.
- "Host" refers to property owners or managers who list accommodations on our Platform.
- "Influencer" or "Creator" refers to content creators who partner with Hosts to create promotional content in exchange for accommodations.
- "Guest" refers to users who book and pay for accommodations through our Platform.
- "Partnership" refers to a collaboration agreement between a Host and an Influencer.
- "Listing" refers to a property advertised on the Platform by a Host.
- "Content" refers to any text, images, videos, or other materials created or shared on the Platform.
3. Eligibility and Account Registration
3.1 Eligibility
You must be at least 18 years old and capable of entering into legally binding contracts to use our Services. By creating an account, you represent and warrant that you meet these requirements.
3.2 Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
4. Identity Verification
4.1 Host Identity Verification
To ensure safety and trust on our Platform, Hosts are required to complete identity verification:
- Upload a valid government-issued ID (passport, driver's license, or national ID)
- Provide a selfie photo for identity matching
- Verification is processed by our third-party provider, Stripe Identity
- Verification must be completed before listing properties
4.2 Biometric Information Consent
Important Notice Regarding Biometric Data:
Identity verification involves the collection and processing of biometric information, including facial geometry extracted from your selfie and government ID photo. This biometric data is:
- Collected solely for the purpose of verifying your identity
- Processed by Stripe Identity, our third-party verification provider
- Used for one-time identity matching and not for ongoing identification or tracking
- Permanently destroyed within 30 days of the verification decision
- Never sold, leased, traded, or otherwise used for profit
By submitting identity verification, you provide your informed, written consent to the collection, use, and storage of your biometric identifiers and biometric information as described above. You may withdraw consent by contacting us, though this may affect your ability to use certain Platform features.
4.3 Property Verification
Hosts must complete property verification before publishing listings:
- Property verification may include: ownership documents, utility bills, or GPS-tagged photos
- By listing a property, you certify you have the legal right to rent it
- You must comply with all applicable local short-term rental laws, permits, and licensing requirements
4.4 Guest Verification and Screening
Guests may be required to complete verification before booking:
- Identity verification (government ID and selfie)
- Background screening via our partner, Truvi
- Screening may include checks against watchlists, sex offender registries, and Truvi's internal guest database
- A $15 damage protection fee is included in each booking
- By booking, you consent to background screening for safety purposes
4.5 Guest Screening Rights (FCRA)
Guest screening may constitute a consumer report under the Fair Credit Reporting Act (FCRA). If a booking is denied, limited, or subject to less favorable terms based on screening results, you have the right to:
- Receive a pre-adverse action notice before a final decision is made
- Receive a copy of the screening report and a summary of your FCRA rights
- Dispute inaccurate or incomplete information in the screening report
- Contact Truvi directly to request correction of inaccurate information
- Request a free copy of your screening report within 60 days of an adverse action
4.6 Creator Verification
Creators and Influencers may connect social media accounts for verification:
- Connect accounts via secure OAuth authorization (Instagram, TikTok, YouTube, etc.)
- Social metrics (followers, engagement rates) are verified through connected accounts
- Creator profiles may be evaluated using AI-assisted analysis of content quality and niche alignment
- By connecting accounts, you consent to sharing public profile data
- You may disconnect accounts at any time in your settings
5. SMS/Text Message Consent
By providing your phone number and using our Services, you consent to receive SMS/text messages from ParaVista Stays, including:
- One-time passwords (OTP) for account verification and login
- Booking confirmations and updates
- Partnership notifications
- Security alerts
SMS Terms:
- Message frequency varies based on account activity
- Message and data rates may apply depending on your carrier and plan
- You can opt out of non-essential SMS at any time by replying STOP to any message
- Reply HELP for assistance
- Consent to receive SMS is not required as a condition of purchasing any goods or services
- SMS messages are sent via Twilio, our third-party messaging provider
6. User Responsibilities
6.1 Host Responsibilities
As a Host, you agree to:
- Complete identity and property verification as required
- Provide accurate and complete information about your property
- Maintain your property in a safe, clean, and habitable condition
- Honor confirmed bookings and partnership agreements
- Respond promptly to inquiries and messages
- Comply with all applicable laws, regulations, and local ordinances, including any short-term rental permits, licenses, or registration requirements in your jurisdiction
- Set accurate tax rates for your property and comply with all local tax collection and remittance requirements
- Maintain appropriate insurance coverage for your property (Truvi Protection Pro provides damage coverage during guest stays but does not replace personal insurance)
- Disclose any material facts that could affect a guest's or creator's stay
6.2 Influencer/Creator Responsibilities
As an Influencer or Creator, you agree to:
- Complete identity verification if required for partnership eligibility
- Provide accurate information about your audience and reach
- Create and deliver content as agreed upon in partnership terms
- Comply with FTC guidelines and disclose sponsored content appropriately (see Section 10.4)
- Treat properties with care and respect house rules
- Meet agreed-upon deadlines for content delivery
- Not misrepresent your metrics, followers, or engagement rates
- Maintain professional communication with Hosts
6.3 Guest Responsibilities
As a Guest, you agree to:
- Complete identity verification if required by the Host or Platform
- Consent to background screening for safety purposes (screening fee may apply)
- Use properties only for their intended purpose
- Comply with house rules and check-in/check-out times
- Treat properties with care and report any damage promptly
- Not exceed the maximum occupancy stated in the listing
- Not engage in illegal activities on the property
- Leave the property in reasonable condition
7. Booking Terms
7.1 Booking Process
When you book a property, you enter into a direct agreement with the Host. ParaVista Stays facilitates this transaction but is not a party to the agreement between you and the Host.
7.2 Payments
All payments are processed through our secure payment partner, Stripe. By making a payment, you agree to Stripe's terms of service. We do not store your complete payment card information.
7.3 Cancellations and Refunds
Cancellation policies vary by listing and are displayed before you complete a booking. Please review the cancellation policy carefully before booking. Refunds, if applicable, will be processed according to the listing's cancellation policy.
7.4 Modifications
Booking modifications are subject to Host approval and availability. Any price differences resulting from modifications will be charged or refunded accordingly.
7.5 Guest Screening and Protection
All bookings include guest screening and damage protection via our partner, Truvi:
- A $15 damage protection fee is charged per booking as part of booking costs
- Truvi Protection Pro coverage is included with each booking
- Approved guests receive up to $5,000,000 in damage protection
- Flagged guests receive up to $10,000 in damage protection
- Coverage includes accidental damage, malicious damage, and theft
- Claims must be filed within 14 days of checkout
7.6 Tax Collection
ParaVista Stays provides tax collection tools for hosts:
- Hosts set tax rates for their properties in their dashboard
- Tax amounts are calculated and displayed as a separate line item at checkout
- ParaVista Stays collects taxes from guests and includes them in host payouts
- Hosts are solely responsible for determining correct tax rates for their jurisdiction
- Hosts are solely responsible for filing all required tax returns
- Hosts are solely responsible for remitting collected taxes to appropriate tax authorities
- Tax collection records are available in the host dashboard for reporting purposes
- ParaVista Stays does not verify tax rates, provide tax advice, or assume liability for tax compliance
8. Damage Protection
8.1 Truvi Protection Pro
All bookings made through ParaVista Stays include Truvi Protection Pro coverage. This coverage is automatic with each booking and provides damage protection for Hosts. A $15 damage protection fee is charged to the Guest as part of booking costs.
8.2 Coverage Details
Truvi Protection Pro coverage tiers:
- Approved Guests: Up to $5,000,000 in damage protection
- Flagged Guests: Up to $10,000 in damage protection
- Coverage Includes: Accidental damage, malicious damage, and theft during the guest's stay
8.3 Exclusions
Truvi Protection Pro does NOT cover:
- Natural disasters, acts of God, or force majeure events
- Damage not caused by guests during their stay
- Normal wear and tear
- Pre-existing damage or conditions
- Damage occurring outside the booked stay dates
8.4 Claims Process
To file a damage claim:
- Report damage within 14 days of guest checkout
- Submit claims through the Platform
- Provide documentation including photos and receipts where applicable
- Claims are reviewed and processed by Truvi
8.5 Additional Host Insurance
Truvi Protection Pro supplements but does not replace your personal property insurance. Hosts should maintain their own homeowners or landlord insurance policy. Consult your insurance provider about coverage for short-term rental activities. ParaVista Stays is not responsible for advising on insurance matters.
9. Third-Party Integrations
9.1 Host Integrations
Hosts may connect third-party tools to manage their listings, including:
- Dynamic pricing tools (PriceLabs, Wheelhouse, Beyond Pricing)
- Guest messaging tools (Hospitable, Host Tools)
- Channel managers (Hostaway, Guesty, Lodgify)
- Smart locks and access control systems
- Cleaning and operations management tools
9.2 Authorization
When connecting third-party integrations:
- Integrations use secure OAuth 2.0 authorization
- You control which permissions each tool receives
- You can revoke access to any integration at any time through your settings
- Revoking access stops future data sharing but does not delete data already shared
9.3 Data Sharing
When you connect a third-party tool:
- You authorize ParaVista Stays to share specified data with that tool
- Data shared may include: listing details, pricing, availability, reservations, and guest information
- Third-party tools are governed by their own terms of service and privacy policies
- ParaVista Stays is not responsible for how third parties use your data after sharing
9.4 Public API
ParaVista Stays provides a public API for developers:
- API access requires authentication and developer registration
- Rate limits and usage terms apply to all API access
- API documentation is available at our developer portal
- Misuse of the API may result in access revocation
10. Partnership Collaborations
10.1 Partnership Agreements
Partnerships between Hosts and Influencers are facilitated through our Platform. Each partnership has specific terms agreed upon by both parties, including stay dates, content deliverables, and any compensation.
10.2 Content Deliverables
Influencers must deliver content as specified in the partnership agreement. Hosts have the right to review and request reasonable revisions to content before it is published.
10.3 Content Ownership
Unless otherwise agreed, Influencers retain ownership of their content but grant Hosts a non-exclusive, non-transferable license to use the content for promotional purposes as specified in the partnership agreement. This license does not include the right to sublicense unless expressly stated in the partnership terms. The license terminates upon expiration of the partnership agreement terms or upon mutual written agreement of the parties.
10.4 FTC Compliance
All sponsored content must comply with Federal Trade Commission (FTC) guidelines:
- Influencers must clearly and conspicuously disclose their partnership with Hosts in all published content
- Disclosures must be made using clear language such as "#ad," "#sponsored," or "Paid partnership with [Host]"
- Disclosures must be placed where they are easily noticed (not buried in hashtags or below the fold)
- When Hosts reuse or repurpose Influencer content, the FTC disclosure must be maintained
- Referral links that earn commissions must also include appropriate disclosure (e.g., "affiliate link" or "I earn a commission from bookings made through this link")
10.5 Payment Escrow
When a partnership involves monetary compensation, funds are held in escrow:
- Payment is collected from the Host when the partnership is confirmed
- Funds are held by our payment processor, Stripe, until release conditions are met
- Escrow funds are released to the Influencer upon approval of all required content deliverables
- If the partnership is cancelled before content delivery, funds are returned to the Host minus any applicable cancellation fees
- In the event of a dispute over content deliverables, funds remain in escrow until the dispute is resolved per Section 19
- Escrow funds do not accrue interest payable to either party
11. Referral Program
11.1 Eligibility
Influencers may request referral links from Hosts to earn commissions on bookings made through their unique links. Referral links must be approved by the Host before use.
11.2 Commissions
Commission rates are set by individual Hosts and displayed when approving referral requests. Commissions are earned when a booking made through a referral link is completed.
11.3 Payouts
Referral earnings are paid out monthly for balances meeting the minimum threshold. Payouts are processed through our payment partner.
11.4 FTC Disclosure for Referral Links
When sharing referral links, you must clearly disclose the material connection (i.e., that you earn a commission from bookings). This disclosure must be clear, conspicuous, and placed near the referral link. Failure to disclose may violate FTC guidelines and may result in suspension of your referral privileges.
12. Fees and Payments
12.1 Service Fees
ParaVista Stays charges service fees for facilitating transactions on our Platform. Fees are disclosed before you complete any transaction. We reserve the right to modify our fee structure with reasonable notice.
12.2 Host Payouts
Hosts receive payouts for completed bookings after the guest checks in, minus applicable service fees. Payouts are processed through Stripe to the Host's connected account. Tax amounts collected from guests are included in host payouts.
12.3 Taxes
12.3.1 Host Tax Responsibilities
Hosts are solely responsible for:
- Determining applicable tax rates for their jurisdiction (occupancy tax, lodging tax, sales tax, etc.)
- Setting correct tax rates on their listings in the dashboard
- Filing all required tax returns with appropriate tax authorities
- Remitting collected taxes to appropriate tax authorities
- Maintaining records for tax compliance and audits
- Obtaining any required tax registration numbers for short-term rental activity in their jurisdiction
12.3.2 Tax Collection
ParaVista Stays provides tax collection tools:
- Hosts set tax rates per property in their dashboard
- Tax amounts are calculated and displayed as a separate line item at checkout
- ParaVista Stays collects taxes from guests as part of the booking total
- Full tax amount is included in host payouts
- Tax collection records are available in the host dashboard for reporting
12.3.3 Marketplace Facilitator Notice
In certain jurisdictions, ParaVista Stays may be classified as a "marketplace facilitator" and may be required to collect and remit taxes on behalf of Hosts. Where such obligations apply, we will notify affected Hosts and adjust tax collection accordingly. In all other jurisdictions, Hosts remain solely responsible for tax compliance.
12.3.4 No Tax Advice
ParaVista Stays does not:
- Verify that tax rates set by hosts are correct
- Provide tax advice or guidance on tax obligations
- File tax returns on behalf of hosts
- Assume any liability for tax compliance
We recommend consulting a qualified tax professional for guidance on your tax obligations.
13. Content Guidelines
13.1 User Content
You retain ownership of content you create and share on the Platform. By posting content, you grant ParaVista Stays a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content in connection with our Services. This license continues for as long as the content remains on the Platform and terminates upon deletion of the content or your account, except where the content has been shared with other users or used in connection with active partnerships or bookings. ParaVista Stays does not have the right to sublicense your content to third parties except as necessary to provide the Services (e.g., hosting providers, CDN services).
13.2 Prohibited Content
You may not post content that:
- Is false, misleading, or fraudulent
- Infringes on intellectual property rights
- Contains hate speech, harassment, or threats
- Is sexually explicit or promotes violence
- Violates any applicable laws or regulations
- Contains malware, viruses, or harmful code
13.3 DMCA Policy
We respect intellectual property rights. If you believe content on our Platform infringes your copyright, please contact us with a DMCA takedown notice at legal@paravistastays.com.
14. Intellectual Property
The Platform, including its design, logos, trademarks, service marks, trade names, software, code, text, graphics, and other content owned by ParaVista Stays ("Platform IP"), is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Platform IP, nor may you reverse engineer or attempt to extract the source code of our software, unless laws prohibit these restrictions or you have our written permission.
15. Prohibited Conduct
You agree not to:
- Violate any applicable laws or regulations
- Impersonate any person or entity
- Circumvent or manipulate our fee structure
- Engage in fraudulent or deceptive practices
- Interfere with or disrupt our Services
- Attempt to gain unauthorized access to our systems
- Use automated tools to scrape or collect data
- Conduct transactions outside the Platform to avoid fees
- Share contact information to circumvent the Platform before a booking is confirmed
16. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
PARAVISTA STAYS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM, INCLUDING LISTING DESCRIPTIONS, USER PROFILES, REVIEWS, OR SCREENING RESULTS.
PARAVISTA STAYS DOES NOT ENDORSE, VERIFY, OR GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF ANY LISTING, THE TRUTH OR ACCURACY OF ANY LISTING DESCRIPTION, THE QUALIFICATIONS OF ANY HOST, CREATOR, OR GUEST, OR THE ABILITY OF ANY USER TO COMPLETE A TRANSACTION.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARAVISTA STAYS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
ParaVista Stays is a platform that connects Hosts, Influencers, and Guests. We do not own, control, or manage any properties listed on our Platform. We are not responsible for the actions or omissions of any users.
18. Indemnification
You agree to indemnify, defend, and hold harmless ParaVista Stays, LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any rights of another; or (d) your content.
19. User-to-User Disputes
19.1 Dispute Resolution Between Users
ParaVista Stays may, but is not obligated to, assist in resolving disputes between users, including disputes related to property damage claims, content deliverables, booking cancellations, or refund requests.
19.2 Damage Claims
Property damage disputes between Hosts and Guests should first be submitted through the Truvi Protection Pro claims process. For disputes not covered by Truvi Protection Pro, users should attempt to resolve the matter directly before contacting ParaVista Stays support.
19.3 Partnership Disputes
Disputes between Hosts and Creators regarding content deliverables, partnership terms, or compensation should be raised through the Platform's messaging system. If the parties cannot resolve the dispute, ParaVista Stays may, at its discretion, mediate the dispute or release escrowed funds based on the partnership agreement terms.
19.4 Limitation
ParaVista Stays is not a party to agreements between users and has no obligation to resolve user-to-user disputes. Any assistance provided is at our sole discretion and does not create any additional liability or obligation.
20. Dispute Resolution
20.1 Informal Resolution
Before filing a formal dispute, you agree to contact us to attempt to resolve the issue informally. We will work with you in good faith to resolve any disputes.
20.2 Arbitration Agreement
Any dispute arising from these Terms or your use of the Services that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall take place in the State of California.
20.3 Arbitration Fees
For claims under $10,000, ParaVista Stays will pay all AAA filing, administration, and arbitrator fees. For claims over $10,000, fees will be allocated in accordance with AAA rules. Each party bears its own attorneys' fees unless the arbitrator determines otherwise.
20.4 Small Claims Court
Notwithstanding the arbitration agreement, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.
20.5 Opt-Out Right
You may opt out of the arbitration agreement by sending written notice to legal@paravistastays.com within 30 days of creating your account. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in California.
20.6 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive your right to participate in any class action or representative proceeding.
20.7 Governing Law
These Terms shall be governed by the laws of the United States and the State of California, without regard to conflict of law principles.
21. Force Majeure
ParaVista Stays shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, epidemics, government orders or restrictions, war, terrorism, civil unrest, power outages, internet disruptions, strikes, or other labor disputes.
In the event of a force majeure event affecting bookings, cancellation and refund terms will be applied on a case-by-case basis, taking into account the specific circumstances and any applicable government directives.
22. Electronic Signatures and Records
By using our Services, you consent to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed through the Platform, in accordance with the federal Electronic Signatures in Global and National Commerce Act (E-Sign Act) and applicable state laws.
Partnership agreements, booking confirmations, and other documents executed through the Platform using electronic signatures are legally binding and enforceable. You agree that electronic signatures have the same legal effect as handwritten signatures.
23. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your account at our sole discretion if we believe you have violated these Terms or engaged in fraudulent or illegal activity.
Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
24. Changes to Terms
We may modify these Terms at any time. If we make material changes, we will notify you by email or through the Platform at least 30 days before the changes become effective. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
